1. Definitions

"Software" means the source code, object code, documentation, tests, examples, and other materials contained in this repository, and any modifications or derivative works thereof.

"Licensor" means Cirro Bio, Inc.

"You" (or "Your") means the individual or legal entity exercising rights under this License.

"Authorization" means a separate written grant of rights from Licensor to You (for example, a partner agreement, customer agreement, order form, or written authorization signed or otherwise expressly issued by Licensor) specifying the scope of Your permitted use of the Software.

"Contribution" means any work of authorship submitted to Licensor for inclusion in the Software.

2. License Grant (Default)

Subject to the terms of this License, Licensor grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

(a) view, download, and make copies of the Software solely for the purposes of evaluation and review; and

(b) modify the Software solely as necessary to prepare Contributions for submission to Licensor.

No other rights are granted under this Section 2. For the avoidance of doubt, the grant in this Section 2 does not include the right to use the Software in production, to incorporate the Software into any product or service, to distribute the Software, or to make the Software available to any third party.

3. Authorized Use

Any use of the Software beyond the default grant in Section 2 requires a valid Authorization from Licensor. The scope, duration, and conditions of such use are governed by the applicable Authorization. In the event of a conflict between this License and an Authorization, the Authorization controls with respect to the rights it grants.

4. Contributions

Contributions are governed by the Contributor Policy in CONTRIBUTING.md. Nothing in this License grants You any ownership interest in the Software, including in any accepted Contribution.

5. Restrictions

Except as expressly permitted by Section 2 or a valid Authorization, You may not: (a) use, copy, modify, or create derivative works of the Software; (b) distribute, publish, sublicense, sell, rent, lease, or lend the Software; (c) provide the Software to third parties as a hosted or managed service; (d) remove or obscure any copyright, license, or attribution notices; or (e) use Licensor's names, logos, or trademarks.

6. Termination

This License terminates automatically if You breach any of its terms. Licensor may revoke the default grant in Section 2 at any time upon notice. Termination of this License does not by itself terminate any separately executed Authorization, which remains governed by its own terms. Upon termination, You must cease all use of the Software and destroy all copies in Your possession, except as an Authorization or applicable law permits. Sections 4 through 8 survive termination.

7. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
